1. Ad Budget & Media Spend Policy (Strict Client-Side Billing)
All advertising budgets and media spend for ANY promotional channel (including Meta/Facebook, Instagram, Google Ads, YouTube, LinkedIn, X, or TikTok) are funded 100% directly by the client.
- Media spend is billed straight to the client's corporate credit/debit card attached to the client's own ad accounts.
- Damainnovate does not advance, finance, or hold ad spend capital.
- Damainnovate charges 0% markup, 0% commission, and zero hidden fees on client ad spend.
- Our agency fees cover solely professional campaign engineering, creative design, copywriting, audience targeting, tracking architecture, and ongoing ROAS optimization.
2. Payment Terms & Retainer Billing Schedules
All agency engagements require timely fee settlements under the following transparent rules:
- Monthly Retainers (Growth Suite, SMM, SEO Retainers): Billed in advance at the start of each 30-day billing cycle. Invoices are generated on Day 1 of the cycle. Services or ad monitoring may be paused if invoices remain unsettled after 7 business days.
- One-Time Builds (Web Development & Turnkey Portals): 50% advance booking deposit required before project kickoff and architectural wireframing. The remaining 50% balance is due upon final client demo sign-off prior to production DNS migration or repository transfer.
- Low-Risk Trial Sprints (₹2,999 SMM Trial / ₹10,000 SEO Trial): 100% prepaid before sprint commencement. Trials carry zero auto-renewal mandates and zero hidden lock-ins.
- Accepted Payment Gateways: UPI, IMPS/NEFT Bank Transfer, Major Credit/Debit Cards, Stripe (International USD/EUR/GBP), and Razorpay. All fees are exclusive of applicable GST/sales tax unless otherwise stated.
3. Full Intellectual Property & Code Ownership
Upon receipt of full final payment for any respective sprint or project phase, the client owns 100% of custom website code, design mockups, AI chatbot system prompts, and creative marketing collateral generated specifically for the client. Damainnovate retains zero proprietary lock-in on custom builds.
4. Client Responsibilities & Onboarding Cooperation
Clients agree to supply brand assets, copywriting approvals, domain access, and valid payment methods for ad networks in a timely manner. Project delivery timelines (e.g. 5-day or 10-day sprint targets) commence once all mandatory prerequisites and credentials have been furnished by the client.
5. Refund & Cancellation Policy
Due to the bespoke engineering and creative work allocated from day one of sprint kickoff, fees paid for completed sprints, activated trial runs, or live monthly retainers are non-refundable. Clients on 6-month retainers may terminate without penalty at the conclusion of their agreed commitment tenure by providing 14 days written notice.
6. Governing Jurisdiction
These terms are governed in accordance with the laws of India. Any legal disputes arising out of contracts with Damainnovate shall be subject to the exclusive jurisdiction of the competent courts in Maharashtra, India.
